These terms govern your use of Beacon, a business intelligence service provided by Arixa Ltd, a company registered in England & Wales under company number 14399344 (“Arixa”, “we”, “us”). By accessing the service you agree to these terms. If you don't accept them, please don't use Beacon.
What Beacon is
Beacon is a business intelligence service. We take operational data you choose to share with us, build a private dashboard tailored to your business, and provide tools to interrogate that dashboard, surface opportunities, and answer questions about your numbers.
Beacon is provided as a service. We are not your accountant, your financial adviser, or your legal counsel. Outputs are intended to support decisions you make yourself. You remain responsible for the decisions you take based on what you read.
Your account
Access to Beacon is granted by us to a named individual at a named business. You must keep your sign-in credentials confidential and notify us as soon as possible if you suspect anyone else has used them. You are responsible for activity carried out under your account.
You may not share your account, attempt to circumvent access controls, or grant access to anyone outside your business without our written agreement.
Your data
Data you upload, type, or send into Beacon (“Customer Data”) remains yours. You grant us a limited, non-exclusive licence to host, process, transform, and analyse Customer Data only for the purpose of providing the service to you and improving the service for you.
We will not sell your data. We will not use your raw business data to train general-purpose models. We will not show your data to other customers. Operational metrics that have been fully anonymised and aggregated may be used internally to improve the service.
If you delete your account, we will delete or anonymise your Customer Data within 60 days, except where we're required to retain specific records by law.
Acceptable use
You agree not to use Beacon to:
- upload data you don't have the right to share with a service provider;
- upload data subject to special-category protections (health, biometric, criminal records, etc.) without first agreeing the scope with us in writing;
- attempt to reverse engineer, scrape, or copy the service;
- attempt to access another customer's account or data;
- do anything unlawful, threatening, defamatory, or otherwise harmful through the service.
We may suspend or terminate accounts that breach these rules.
Service availability
We aim to keep Beacon available and responsive but we don't promise uninterrupted service. Maintenance windows, third-party outages, and unforeseen issues happen. We'll let you know about planned downtime where we reasonably can.
The service is provided on an “as is” basis. We disclaim warranties of merchantability and fitness for a particular purpose to the extent permitted by law.
Fees, billing, cancellation
Where Beacon is offered on a paid plan, the fee, billing frequency, and cancellation terms are agreed in writing with you separately. Fees are quoted exclusive of VAT unless stated otherwise.
You can cancel at any time by giving written notice. Cancellation takes effect at the end of the current billing period. Pro-rata refunds for partial months are at our discretion.
Intellectual property
The Beacon platform, its design, software, and any analytical models are the property of Arixa. You receive a non-transferable right to use the service for your business while these terms are in force. You don't acquire any rights in our underlying technology by using the service.
Customer Data, and any insights generated specifically for your business, remain yours.
Liability
Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that can't be limited by law.
Subject to that, our total liability to you in any 12-month period will not exceed the fees you have paid us for the service in that period (or £1,000 if no fees have been paid). We are not liable for indirect or consequential losses, lost profits, lost revenue, lost opportunities, or business interruption.
Termination
Either of us may terminate the agreement on written notice if the other materially breaches these terms and doesn't fix the breach within 14 days of being asked to.
We may suspend access immediately if we reasonably believe the service is being misused or if continued access poses a risk to other customers, our infrastructure, or third parties.
Changes to these terms
We may update these terms from time to time. If we make material changes, we'll let you know by email and post the new version on this page. Continued use of Beacon after the change takes effect counts as acceptance.
Governing law
These terms are governed by the laws of England & Wales. Any disputes will be heard exclusively in the courts of England & Wales.
